Terms of Service

These Terms of Service govern your use of the services provided by Gator Graphics & Web Design, LLC. By engaging our services, you agree to be bound by these terms.

1. Services

Gator Graphics & Web Design, LLC agrees to provide web design and graphic design services as outlined in a mutually agreed-upon Statement of Work (SOW) or service agreement. Services may include, but are not limited to, website design, landing pages, logo/branding assets, and graphic design deliverables. The specific scope, deliverables, and timelines will be detailed in the SOW.

2. Client Obligations

The client agrees to provide Gator Graphics & Web Design, LLC with timely access to necessary information, data, and design/website assets (e.g., website access, brand materials, and relevant login credentials) required to perform the services. The client is responsible for the accuracy and legality of all materials provided to us.

3. Payment Terms

Fees for services will be set forth in the SOW. Unless otherwise specified, payment is due in advance of each service period (e.g., monthly). Invoices are payable upon receipt. Late payments may result in a suspension of services.

4. Confidentiality

Both parties agree to keep confidential all non-public information obtained from the other party during the course of the service engagement. This includes business strategies, financial information, and Project Data. This obligation survives the termination of our agreement.

5. Intellectual Property

The client retains all intellectual property rights to the content and materials they provide to Gator Graphics & Web Design, LLC. Any work product created by Gator Graphics & Web Design, LLC specifically for the client as part of the services (e.g., website pages, design files, creative assets) will become the property of the client upon full payment for the services rendered.

6. Limitation of Liability

Gator Graphics & Web Design, LLC will perform its services with professional skill and care. However, we do not guarantee specific results, such as rankings, traffic levels, or conversion rates, as these are subject to factors beyond our control. In no event shall Gator Graphics & Web Design, LLC be liable for any indirect, special, or consequential damages arising out of our services.

7. Termination

Either party may terminate the service agreement with written notice, typically 30 days, as specified in the SOW. Upon termination, the client is responsible for all fees incurred up to the effective date of termination.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Gator Graphics & Web Design, LLC is registered, without regard to its conflict of law provisions.
